This Memorandum of Understanding entered and executed by and between:

The Department of Social Welfare and Development of the Republic of the Philippines with office postal address at Batasan Complex Constitution Hills, Quezon City, Philippines, represented by Secretary Lina B. Laigo, hereinafter referred to as DSWD;

and

The Asian Women's Fund with postal address at 2-17-42 Akasaka, Minato-ku, Tokyo 107, Japan, represented by its Vice-President Makiko Arima, hereinafter referred to as AWF;

Witnesseth

WHEREAS, the AWF and the DSWD will provide goods and services in the medical and welfare fields to those who underwent immeasurable and painful experiences and suffered incurable physical and psychological wounds as "comfort women", with a view to supporting their livelihoods and well-being;

WHEREAS, the implementation of the Project is to be undertaken by the Department of Social Welfare and Development for which, the AWF shall provide the necessary financial resources.

NOW, THEREFORE, for and in consideration of the foregoing parties have this Memorandum of Understanding to fully support the implementation of the Project in the Philippines with the Lolas (former "comfort women") as the Recipients, by performing their respective roles as provided hereunder;

I. Department of Social Welfare and Development (DSWD)

a. Shall implement the Project;

b. Shall coordinate with Department of Foreign Affairs, Department of Justice, Department of Health, National Commission on the Role of Filipino Women, Asian Women Fund and other agencies in the implementation of the Project;

c. Shall develop policies, standards, program and services for the implementation of the project;

d. Shall identify the staff responsible in the implementation of the project;

e. Shall develop training program for staff who will implement the program and services;

f. Shall monitor, evaluate and document the project implementation and provide annual report to AWF, and

g. Shall guarantee for appropriate management and use of funds it receives from AWF, and shall make sure that the fund be used solely for the implementation of the Project.

II. Asian Women's Fund (AWF)

a. Shall provide the DSWD with financial resources which are necessary for the implementation of the Project, and

b. Shall consult with the DSWD regarding the implementation of the Project.

WHEREAS, this MOU shall take effect on the data on which the AWF and the DSWD sign it, and shall remain in force for five years;

WHEREAS, either Party may terminate the MOU by giving notice in writing to that effect to the other party six (6) months prior to the data fixed for such termination;

WHEREAS, amendments to this MOU may be made at any time if both Parties agree to do so in writing;

WHEREAS, if any question should arise between the Parties regarding the interpretation of application of this MOU, the AWF and the DSWD shall consult each other in good faith.

Done in duplicate in Manila, Philippines, on this 15th day of January, 1997.
